These Terms of Use ("Terms") form a binding agreement between you and Triumph Labs, Inc., which owns and operates ChadRank.com ("we," "us," or "our"). These Terms apply to your access to and use of the site, including school pages, leaderboards, nomination forms, voting tools, text-message verification, and any related contests, sweepstakes, raffles, giveaways, or other promotional campaigns we make available (collectively, the "Services").
Promotion-specific requirements such as eligibility, deadlines, prizes, winner selection, and no-purchase-necessary rules are controlled by the applicable Official Rules. If these Terms conflict with the Official Rules for a specific promotion, the Official Rules control for that promotion.
1. Eligibility and Account Requirements
You may browse the public portions of the Services without creating an account. To nominate a candidate, vote, claim a prize, or participate in any promotion, you must meet all eligibility requirements we publish for that activity.
- You must be at least eighteen (18) years old at the time of participation.
- You must be legally permitted to participate under applicable law.
- You must provide truthful, current, and complete information.
- You may maintain only one account or identity for the Services unless we expressly authorize otherwise in writing.
- If we require phone verification, the phone number must be a number you control and are authorized to use.
We may refuse access, suspend participation, or require additional verification at any time if we believe a user is ineligible, acting fraudulently, or violating these Terms.
2. Verification, Security, and Access
Certain features require sign-in and phone verification. By using SMS-based verification, you authorize us and our service providers to send one-time passcodes and other service-related messages to the number you provide.
You are responsible for maintaining the confidentiality of your login credentials, controlling access to your device, and promptly notifying us of suspected unauthorized access. You remain responsible for activity occurring through your account unless prohibited by applicable law.
3. Acceptable Use
You agree to use the Services only for lawful, personal, and intended purposes. You may not:
- create multiple accounts, use false identities, or impersonate any person or organization;
- buy, sell, trade, broker, or otherwise manipulate votes, nominations, entries, or prize claims;
- use bots, scripts, automation, scraping tools, or other unauthorized technical means to access or interact with the Services;
- interfere with the security, integrity, or availability of the Services;
- upload or submit content that is false, defamatory, infringing, obscene, harassing, hateful, or otherwise unlawful;
- attempt to reverse engineer, copy, frame, mirror, or create derivative works from the Services except as allowed by law; or
- use the Services in a way that violates any applicable law, regulation, or third-party right.
4. Nominations, Submissions, and Public Content
The Services may allow you to submit names, photos, image links, biographies, fraternity information, comments, or other content relating to nominees, campuses, or promotions ("User Submissions"). You retain whatever rights you have in your User Submissions, but you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, publish, display, adapt, distribute, and otherwise use those User Submissions to operate, improve, market, and administer the Services and associated promotions.
You represent and warrant that:
- you have the right to submit the content and grant the license above;
- the submission is accurate to the best of your knowledge;
- the submission does not violate privacy, publicity, copyright, trademark, or other rights of any third party; and
- the submission does not contain malicious code or unlawful material.
Leaderboards, nominee pages, vote counts, school rankings, and winner announcements may be public. We may remove, edit, reject, or disable any User Submission at any time in our sole discretion.
5. Voting, Promotions, and Prize Terms
The Services may include voting competitions and other promotional programs. Participation is always subject to the applicable official rules, published instructions, deadlines, and verification procedures.
For the ChadRank.com promotion, the first-place winner at each school receives a $10,000 Party Budget. This is not a cash award; the value is fulfilled primarily through production services and equipment (e.g., sound, DJ booth, lasers, lighting) provided by Triumph Labs, Inc. - Votes and entries may be limited by school, user, device, time period, or other anti-fraud controls.
- We may review and invalidate suspicious, duplicate, automated, bulk, or ineligible votes or entries.
- Unless specific Official Rules state otherwise, no purchase or payment is necessary to enter or participate, and a purchase will not increase your chances of winning.
- If a promotion involves a chance-based element, odds of winning depend on the number of eligible entries received.
- If a promotion is skill-based, judging or ranking criteria will be described in the applicable Official Rules.
We may require potential winners to sign affidavits, liability/publicity releases, tax documentation, or other reasonable verification materials before awarding a prize. If a selected winner cannot be verified, does not respond on time, or is otherwise ineligible, we may disqualify that person and select an alternate winner where permitted.
Prizes are non-transferable unless expressly stated otherwise. Winners are solely responsible for all federal, state, and local taxes, reporting obligations, and any costs associated with accepting or using a prize.
6. Disqualification and Enforcement
We may investigate any suspected abuse, fraud, or violation of these Terms or the Official Rules. Without limiting other remedies, we may suspend accounts, remove submissions, cancel votes, revoke eligibility, delay or deny prize awards, and pursue legal action where appropriate.
7. Third-Party Services
The Services may rely on or link to third-party services, including hosting, analytics, authentication, SMS, payment, app store, social, or content-delivery providers. Your use of third-party services may also be subject to those third parties' terms and privacy policies. We are not responsible for third-party products or services that we do not control.
8. Intellectual Property
Except for your User Submissions, the Services and all related branding, software, layouts, designs, text, graphics, databases, and other content are owned by us or our licensors and are protected by applicable intellectual property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for personal, non-commercial use only.
9. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the fullest extent allowed by law, we disclaim all warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, title, accuracy, or uninterrupted availability.
We do not guarantee that the Services will always be secure, available, accurate, or error-free, or that leaderboards, vote totals, rankings, content, or promotional materials will always be complete or free from delays.
10. Limitation of Liability
To the fullest extent permitted by law, we and our affiliates, officers, employees, contractors, sponsors, promotion partners, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business interruption arising out of or relating to the Services, even if advised of the possibility of such damages.
To the fullest extent permitted by law, our total liability for all claims arising out of or relating to the Services will not exceed the greater of: (a) one hundred U.S. dollars ($100), or (b) the amount you paid us directly, if any, in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
You agree to defend, indemnify, and hold harmless us and our affiliates, officers, employees, contractors, sponsors, promotion partners, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Services, your User Submissions, your violation of these Terms, or your violation of any law or third-party right.
12. Suspension and Termination
We may modify, suspend, or discontinue all or part of the Services at any time. We may also suspend or terminate your access immediately if we believe you violated these Terms, the Official Rules, or applicable law, or if your conduct creates risk for the Services, other users, or us.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Except where the applicable Official Rules or non-waivable law require otherwise, any dispute arising from or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in Delaware, and you consent to the jurisdiction of those courts.
14. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date. Your continued use of the Services after updated Terms become effective means you accept the revised Terms.
